Regulatory Status Notice (United Kingdom)
Under Section 19 of the UK Financial Services and Markets Act 2000 (FSMA 2000) and the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (RAO), firms carrying out "regulated activities" by way of business in the United Kingdom must be authorized by the FCA.
CRA operates strictly outside the statutory regulatory perimeter and does not carry on, or purport to carry on, any regulated investment activities. Specifically, CRA does not:
- Provide Investment Advice: CRA does not advise on investments (Article 53, RAO) or provide personal recommendations concerning the merits of buying, selling, subscribing for, or underwriting any security or financial instrument.
- Arrange Deals: CRA does not arrange deals in investments or make arrangements with a view to transactions in investments (Article 25, RAO).
- Deal as Principal or Agent: CRA does not execute transactions, trade securities, or act as an intermediary, broker, or dealer (Articles 14 & 21, RAO).
- Safeguard Assets: CRA does not safeguard or administer client investments, nor does it hold or control client money or deposits (Articles 37 & 40, RAO).
No Investment Advice, Endorsement, or Solicitation
All intelligence products, market surveillance bulletins, macroeconomic time-series evaluations, country research briefings, econometric models, and financial spreadsheets published or delivered by CRA (collectively, the "Materials") are created and distributed strictly for general informational, educational, and macroeconomic research purposes only.
The Materials do not constitute, and must not be interpreted as:
- Financial, investment, legal, tax, regulatory, or accounting advice;
- An endorsement, recommendation, or credit evaluation of any sovereign issuer, enterprise, project, or financial instrument; or
- An offer to buy or sell, or a solicitation of an offer to purchase, subscribe for, or hold any security, equity, bond, derivative, commodity, or currency in any country.
Recipients must not rely on the Materials as a substitute for the exercise of their own independent judgment and must consult their own authorized financial, legal, and tax advisers prior to making any capital commitment.
Financial Promotion Restrictions (UK FSMA s.21)
Where any report, proposal deck, or document prepared by CRA could be characterized as an invitation or inducement to engage in investment activity under Section 21 of FSMA 2000, it is directed exclusively at persons who fall within one or more exemptions set out in the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (FPO):
- Investment Professionals: Authorized institutions, pension funds, venture capital firms, and individuals with professional investment experience (Article 19(5), FPO);
- High Net Worth Entities: Companies and partnerships with paid-up share capital or net assets of at least £5 million (or £500,000 for bodies with more than 20 members) (Article 49(2), FPO);
- Sophisticated Investors: Certified or self-certified sophisticated investors meeting the statutory criteria of Articles 50 and 50A of the FPO;
- Overseas Persons: Entities outside the UK receiving communications under Article 12 of the FPO, subject to their domestic securities laws.
Retail investors in the UK or elsewhere are strictly prohibited from acting or relying upon any deal memorandum, investment proposal, or capital-raising documentation produced or distributed by CRA.
Capital Raising Support & Separation of Licensed Affiliates
CRA's website describes services relating to capital raising, including the preparation of funding proposals, Information Memorandums (IMs), pitch books, and commercial lender packs. Clients and prospective investors must note the operational division:
- CRA Technical Role: CRA operates purely as an analytical consultancy preparing narrative documentation, financial templates, and data room structures at the express request and instruction of the client sponsor. CRA does not market securities, advise on terms, or execute transactions.
- Independent Licensed Affiliates: Any regulated capital-raising activities—including investor introductions, investor suitability screening, roadshow coordination, syndication, and deal closing—are executed exclusively by independent, licensed investment banking institutions operating under their own regulatory licenses, professional indemnity insurance, and terms of business.
- No Placement Fees: CRA does not receive brokerage commissions, transaction-success percentages for arranging investments, or placement fees for regulated broker activities in the United Kingdom.
Multi-Jurisdictional Cross-Border Legal Scope
CRA specializes in research across the 15 member states of the Economic Community of West African States (ECOWAS): Benin, Burkina Faso, Cabo Verde, Côte d’Ivoire, Ghana, Guinea, Guinea-Bissau, Liberia, Mali, Niger, Nigeria, Senegal, Sierra Leone, The Gambia, and Togo.
The distribution of CRA publications and documentation is subject to specific local securities restrictions:
Federal Republic of Nigeria
Reports touching on Nigerian corporations or NGX securities are published solely for informational analysis. They do not constitute an offer to the public under the Investments and Securities Act (ISA) 2007 or SEC Nigeria regulations.
Republic of Ghana
Analyses of GSE equities, Bank of Ghana treasuries, or Ghanaian issuers do not constitute an invitation to the public or regulated advisory under the Securities Industry Act, 2016 (Act 929) or SEC Ghana directives.
WAEMU / UEMOA (AMF-UMOA)
In Francophone West Africa, materials do not constitute a public solicitation (appel public à l'épargne) and have not been submitted to or approved by the Autorité des Marchés Financiers de l'UMOA.
United States (US SEC)
Securities reviewed have not been registered under the U.S. Securities Act of 1933. Materials are directed exclusively to non-US persons under Regulation S or qualified institutional buyers (QIBs) under Rule 144A.
Financial Modeling, DCF Projections & Model Risk
CRA generates 3-statement financial projection models, discounted cash flow (DCF) valuations, sensitivity matrixes, and project finance schedules in Excel and digital formats.
- Predictive & Hypothetical: Projections reflect mathematical algorithms applied to forward-looking hypotheses, historical performance proxies, and client-supplied operational forecasts. They do not represent facts. Actual financial outturns will vary, potentially substantially.
- Model Risk: Financial models are sensitive to input variations, discount rates, terminal growth rates, and inflation benchmarks. CRA makes no warranty regarding the computational infallibility or commercial realizability of modeled metrics.
- No Audit Verification: CRA does not verify or audit underlying corporate accounting records, tax filings, or inventory balances. Deliverables must not be treated as audited financial statements or formal fairness opinions.
AI-Powered Research & Quantitative Analytics
CRA integrates Artificial Intelligence (AI) algorithms, automated web-scraping pipelines, and econometric software to process large volumes of African macroeconomic, sovereign debt, and corporate trade data.
Users acknowledge that automated data processing pipelines may ingest unverified national statistics or suffer from machine learning latency or algorithmic anomalies. Primary statistical releases from multilateral institutions (IMF, World Bank, UN Comtrade) and sovereign central banks are subject to retrospective sovereign revisions for which CRA accepts no liability.
Showcase Reports, Ratings & Target Prices
Sample reports featured on the CRA website (e.g., coverage of AngloGold Ashanti Limited featuring "Overweight" ratings and 12-month target prices, or Ghana Quarterly Economic Digests):
- Are displayed solely as demonstration samples of CRA's document-structuring, econometric modeling, and reporting formats;
- Reflect point-in-time historical analysis and do not represent active, real-time investment recommendations, buy/sell triggers, or execution orders;
- May be altered, updated, or retired at any time without notice.
Master Terms: Scope of Products & Services
These Master Terms and Conditions govern the provision of all CRA products and services:
- Market Intelligence Subscriptions: Periodic digests delivered via PDF, web portal, or email distribution on fixed term subscription schedules;
- Financial Modeling Engagements: Bespoke Excel models and sensitivity schedules built according to client-defined project specifications;
- Capital-Raising Documentation: Executive pitch decks, bankable funding dossiers, and Information Memorandums drafted for client fundraising campaigns;
- Digital Platform Licenses: Access to cloud-hosted sovereign dashboards (Spectrum), investment hubs (NIB Investment Hub), and project tracking systems.
Client Data, AML & International Sanctions
Where a client commissions CRA to prepare documentation or projection models:
- Accuracy Warranty: The client warrants that all financial data, operational metrics, contracts, and forecasts supplied to CRA are accurate, complete, and not misleading.
- Sanctions Compliance: The client warrants that neither it, nor any director, shareholder, or ultimate beneficial owner, is listed on UK OFSI, EU, UN, or US OFAC sanctions lists.
- Anti-Bribery (UK Bribery Act 2010): Both parties warrant strict adherence to the UK Bribery Act 2010 and applicable anti-corruption legislation across all African sovereign and corporate interactions.
Intellectual Property & Permitted Use
Ownership: Creative Research Associates retains exclusive ownership of all copyrights, patents, proprietary econometric algorithms, model architectures, VBA code, design assets, and branding.
License Grant: Upon full payment of fees, CRA grants the client a non-exclusive, non-transferable, revocable license to use deliverables internally. The client shall not:
- Resell, sublicense, publish, or publicly distribute CRA research reports or database excerpts;
- Extract or reverse-engineer formulas, macros, or computational routines from CRA financial models to develop competing commercial software;
- Scrape or mirror data from hosted CRA digital platforms (Spectrum / NIB Hub).
Fees, Quotations & Payment Protocols
Pricing: Indicative pricing on the website is non-binding. Binding fees are formalized exclusively in written Statements of Work (SOWs) or engagement letters.
Payment Milestones: Standard bespoke projects require a 50% mobilization deposit upon signing and 50% upon delivery of final deliverables. Subscription products and platform software licenses are invoiced in advance.
Late Settlement: Invoices unpaid after thirty (30) days accrue statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate per annum.
Digital Platforms (SaaS) & Uptime Commitments
For digital software solutions hosted by CRA (e.g., Sovereign Control Hub / Spectrum):
- Service Availability: CRA uses commercially reasonable endeavors to maintain 99.0% availability during standard operating hours, excluding emergency or scheduled maintenance.
- Infrastructure Outages: CRA is not liable for service interruptions caused by third-party cloud hosting providers, sovereign telecommunications firewalls, or subsea fibre-optic cable severance in West Africa.
Limitation of Liability & Exclusion of Damages
CRA, its partners, consultants, and contractors shall not be liable for:
- Loss of profits, commercial revenue, anticipated funding, or capital gains;
- Failed investment rounds, debt refinancing defaults, or investor rejections;
- Loss of data, business disruption, or reputational damage.
Client Indemnification
The client agrees to indemnify, defend, and hold harmless CRA, its principals, officers, and technical affiliates against any third-party claims, liabilities, damages, or legal costs (including full solicitor fees) arising from:
- Any false, inaccurate, or misleading corporate information provided by the client for inclusion in pitch decks, financial models, or Information Memorandums;
- Any claim by an investor, creditor, or regulator concerning funding raised or attempted to be raised by the client;
- Any breach by the client of applicable securities regulations or these Terms.
Governing Law & LCIA Arbitration
Negotiation: In the event of any controversy, claim, or dispute, the parties shall first attempt in good faith to resolve the issue through senior executive consultation within twenty-one (21) days.
Arbitration: Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the London Court of International Arbitration (LCIA Rules):
- Seat: London, United Kingdom;
- Language: English;
- Tribunal: A sole arbitrator appointed pursuant to the LCIA Rules.
Notwithstanding the above, CRA reserves the right to seek injunctive relief or debt recovery judgments in any court of competent jurisdiction where the client is incorporated or possesses assets.
